The Supreme Court ruled that in exercising the controlling shareholder’s squeeze-out right, the shares of minority shareholders are deemed to have been transferred to the controlling shareholder on the date of deposit, which is consistent with the right to purchase shares in a merger and protects minority shareholders’ rights. However, it is more reasonable to interpret that the transfer of shares occurs at the time of deposit and minority shareholders have a fair claim for the purchase price, and clarification of the relevant regulations is needed.
